1. Acceptance of Terms

By installing and using Cartrel ("the App"), you agree to these Terms & Conditions. If you do not agree, do not install or use the App.

2. Description of Service

Cartrel is a B2B wholesale infrastructure app for Shopify that enables:

• Direct wholesale connections between supplier and retailer Shopify stores
• Product catalog synchronization for wholesale ordering
• Purchase order management and draft order creation
• Payment terms and tier management

3. Eligibility

To use Cartrel, you must:

• Have an active Shopify store
• Be legally authorized to represent your business
• Comply with all applicable laws and regulations
• Be at least 18 years of age

4. User Responsibilities

4.1 Account Security

You are responsible for:

• Maintaining the security of your Shopify store
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4.2 Accurate Information

You agree to provide accurate, current product information, pricing, and inventory levels for wholesale purposes.

4.3 Compliance

You agree to:

• Comply with Shopify's Terms of Service and policies
• Not use the App for any illegal or unauthorized purpose
• Honor payment terms and agreements established with wholesale partners

5. Cartrel's Role

5.1 Infrastructure Provider

Cartrel provides infrastructure and tools for B2B wholesale ordering. We:

• DO: Facilitate connections between suppliers and retailers
• DO: Sync product catalogs and create draft orders
• DO NOT: Act as merchant of record for any transactions
• DO NOT: Process payments or hold funds
• DO NOT: Take a percentage of transaction value (GMV)

5.2 Direct Relationships

All wholesale relationships, payment arrangements, and fulfillment obligations are directly between suppliers and retailers. Cartrel is not a party to these transactions.

6. Pricing and Payments

6.1 Subscription Fees

Cartrel charges subscription fees to suppliers based on the selected plan:

• Free: $0/month (3 connections, 25 products, 10 orders/month)
• Starter: $15/month ($150/year - 16.7% discount)
• Core: $29/month ($290/year - 16.7% discount)
• Pro: $49/month ($490/year - 16.7% discount)
• Growth: $99/month ($990/year - 16.7% discount)
• Scale: $199/month ($1,990/year - 16.7% discount)

Retailers use Cartrel for free. Annual plans include 2 months free (pay for 10 months, get 12 months).

6.2 Billing

Subscription fees are billed through Shopify's billing system. By subscribing, you authorize Shopify to charge your payment method.

6.3 Refunds

Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time, which will take effect at the end of the current billing period.

7. Data and Privacy

Our collection and use of data is governed by our Privacy Policy. By using Cartrel, you consent to our data practices as described in the Privacy Policy.

8. Intellectual Property

Cartrel and its original content, features, and functionality are owned by Cartrel and are protected by international copyright, trademark, and other intellectual property laws.

9. Prohibited Uses

You may not use Cartrel to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or viruses
• Attempt to gain unauthorized access to systems
• Interfere with or disrupt the App's functionality
• Use automated systems to scrape or data mine

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Cartrel is provided "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the last 12 months
• We are not responsible for disputes between suppliers and retailers
• We are not liable for payment defaults, fulfillment issues, or product quality

11. Indemnification

You agree to indemnify and hold Cartrel harmless from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Disputes with your wholesale partners

12. Termination

We may suspend or terminate your access to Cartrel:

• If you violate these Terms
• If required by law or Shopify's policies
• If your Shopify store is terminated
• At our discretion with reasonable notice

You may terminate your use at any time by uninstalling the App.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of Cartrel after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the jurisdiction where Cartrel operates, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms or your use of Cartrel shall be resolved through:

• Good faith negotiations between parties
• Mediation if negotiations fail
• Arbitration or litigation as a last resort

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cartrel regarding use of the App.
